The structural gap is straightforward: ETFs subtract fees from market returns. Staking adds network yield to market returns. Over a multi-year holding period, that difference compounds.

Tokenized Funds vs. ETFs: A Structural Comparison for Institutional Allocators

ETFs are exchange-listed products. They require brokerage access, operate within exchange hours for liquidity, and settle through traditional custodians. That infrastructure is familiar, and for many allocators it's sufficient. But it carries assumptions worth examining.

Tokenized fund structures work differently. Settlement occurs on-chain, which means it can happen continuously rather than on a T+1 or T+2 cycle. Redemption mechanics are governed by smart contract logic rather than authorized participant agreements. And the regulatory wrapper is different: most tokenized funds in the U.S. operate under Reg D (for accredited investors) or Reg S (for non-U.S. persons) exemptions rather than SEC registration. That distinction matters for compliance teams. Reg D structures are not available to retail investors and carry their own disclosure and resale restrictions, but they also allow for structural flexibility that registered products cannot offer.

The tokenized fund market has grown materially. The trajectory reflects genuine institutional interest, not speculative positioning.

For allocators evaluating tokenized fund infrastructure, the key structural differences from ETFs include: continuous NAV calculation rather than end-of-day pricing, on-chain settlement rather than custodian-intermediated clearing, and the ability to embed compliance logic directly into the token itself. These aren't marginal improvements; they represent a different architecture for fund access.

The trade-off is regulatory familiarity. ETFs are SEC-registered, widely understood by compliance teams, and fit neatly into existing portfolio management systems. Tokenized funds require more diligence upfront, particularly around custody arrangements, AML/KYC processes, and jurisdiction-specific eligibility.

What Institutional Investors Should Evaluate Before Allocating

No single vehicle is right for every allocator. The decision depends on four variables: liquidity needs, tax jurisdiction, yield appetite, and custody preference.
